1. Purpose
This governs the access to and use of the PH Live Music Ticketing and Event Management Platform (“Platform”) by authorized Users. The Platform contains confidential and proprietary information, and its use is strictly limited to fulfilling the User’s official duties for the Company.
2. Definition of Confidential Information
“Confidential Information” means all non-public information disclosed, whether orally, in writing, digitally, or otherwise, including but not limited to:
- Event details, client lists, sales figures, and contracts
- Financial data, accounting records, and payment information
- Marketing strategies, sponsorship agreements, and promotional materials
- Supplier/vendor pricing, contact details, and inventory information
- System configurations, login credentials, security logs, and platform architecture
- Planned Marketing Forecast
3. General Obligations of the User
By accepting these Terms, the User acknowledges and agrees that they may receive or be exposed to proprietary, confidential, and/or trade secret information of PH Live Music. The User undertakes the following obligations:
- Non-Disclosure – The User shall not disclose any Confidential Information without prior written consent, except as required by law.
- Limited Use – The User shall use Confidential Information solely for authorized duties.
- Protection Measures – The User shall safeguard Confidential Information and comply with all data protection policies.
- Return or Destruction – Upon request or termination, the User shall return or securely destroy all Confidential Information.
“User” refers to any authorized personnel of PH Live with access to the Platform.
4. Prohibited Conduct
- Copying, reproducing, or extracting Confidential Information without authorization
- Disclosing information to competitors or media outlets
- Using information for personal gain
- Tampering with security features
- Publishing Confidential Information in public forums
5. Intellectual Property Rights
No license or rights are granted to the User other than a limited, revocable, non-transferable right to use the Platform for authorized duties.
6. Breach and Remedies
- Immediate suspension or termination of Platform access
- Disciplinary action, including termination of employment or contractual relationship
- Legal proceedings for injunctive relief, damages, and recovery of attorney’s fees and costs
- Potential criminal prosecution under applicable laws, including but not limited to trade secrets and data protection statutes
7. Duration and Survival
This confidentiality obligation shall remain in effect during the User's period of authorized access and for a period of [5 years] thereafter. The obligations of confidentiality shall survive termination of employment, contract, or access rights.
8. Compliance with Laws
The User acknowledges and agrees that all payments, transactions, and financial activities conducted through the platform must comply with applicable Philippine laws, including but not limited to Anti-Money Laundering (AML) regulations under Republic Act No. 9160 (as amended) and all relevant counter-terrorism financing laws. The User shall not use the platform, directly or indirectly, for any unlawful purpose, including the funding of terrorism, organized crime, fraud, or any other illegal activities. Any suspicious or prohibited transactions may be reported to the proper authorities, and access to the platform may be suspended or terminated without notice.
9. Governing Law and Jurisdiction
This NDA and terms and conditions shall be governed by and construed in accordance with the laws of the Republic of the Philippines. The parties submit to the exclusive jurisdiction of the courts located in [City], Philippines
Supplemental Department-Specific Provisions
A. Accounting Department
In addition to the above:
- Maintain absolute confidentiality over all financial records, reconciliation reports, and tax documents
- Protect payment gateway credentials, bank details, and any financial access tools
- Promptly report discrepancies, fraudulent activities, or suspicious transactions to the appropriate Company authority.
B. Marketing Department
- Maintain strict secrecy regarding marketing campaigns, sponsorship arrangements, and promotional schedules.
- Do not disclose promotional codes, pricing strategies, or campaign performance data without written approval
- Secure all marketing analytics and client contact lists from unauthorized access
C. Event Management Department
- Keep all event activities, sales reports, performer contracts, vendor terms, and operational logistics confidential
- Ensure backstage passes, access codes, and security procedures are not disclosed to unauthorized parties
- Destroy outdated event documentation in a secure manner
D. Store Managers
In addition to the above:
- Protect inventory data, supplier pricing, and ticket allocation schedules.
- Maintain confidentiality over stock replenishment details and purchasing agreements.
- Safeguard point-of-sale and delivery detail credentials and prevent unauthorized access
E. Admin Department
In addition to the above:
- Maintain confidentiality over all administrative credentials, user permissions, and security logs.
- Prevent unauthorized account creation or modification of access privileges
- Protect all system backup files and configuration settings from external access
